25 August 2014 Can any one pl. provide me format for board resolution for adoption of annual accounts for 2013-14,

25 August 2014 “RESOLVED THAT pursuant to the provisions of Section 210, 215 and other provisions, applicable, if any, of the Companies Act, 1956 and provisions of the Companies Act, 2013 to the extent applicable, the Balance Sheet, the Statement of Profit & Loss, Cash Flow Statement and Notes annexed to & forming part of the Annual Accounts of the Company for the financial year ended March 31, 2014 placed before the Meeting be and are hereby considered and approved.

RESOLVED FURTHER THAT Mr. _____________ and Mr. ____________________, Directors of the Company be and are hereby jointly authorised for and on behalf of the Board of Directors to sign, authenticate and submit the said Annual Accounts to the Statutory Auditors for the Auditor’s Report thereon.

RESOLVED FURTHER THAT pursuant to Section 179(3) of the Companies Act, 2013 read with Rule 8(9) of the Companies(Meetings of the Board & Its Powers) Rules, 2014, any of the Directors of the Company be and is hereby authorised for and on behalf of the Company to file E-Form MGT-14 or such other necessary forms with Ministry of Corporate Affairs or Registrar of Companies by affixing digital signature thereto and to do all such act, deeds, matters and things which may deem necessary in this behalf.”

25 August 2014 Thanks a lot mitesh Sir, Pl. know can we use this Board resolution as attachment of MGT-14 for adoption of Balance Sheet or require some additional information.
