Mgt-14 filing for approval of accounts in board meeting

22 February 2016 Whether a private limited co. is required to file Form MGT-14 for approval of financial statements by the board of directors in the the board meeting.

22 February 2016 As per Section 179(3)(g) Resolution to approve financial statement and the Board’s report, has to be filed with the Registrar within thirty days of passing of such resolution.

Therefore, in order to avoid late fee under the provisions of the Companies Act’2013, the resolution approving the financial statements and the Board’s Report has to be filed in MGT-14, within 30 days of such approval

Yes, only private companies have been exempted from filing resolutions u/s 179(3)
