Increase in authorised capital

13 January 2010 I want to increase the authorised capital of a private investment company registered office in M.P., from Rs. 10 Lacs to Rs. 2 crores. So Please let me know the overall procedure especially the amount of stamping or franking which is applicable and all other mandatory steps to be done.

13 January 2010 1) Convenue general meeting for amendment in capital clause. Pass special resolution in GM.
2) File e-form-23 along with explanatory statement u/s 173(2) within 30 days of passing the resolution.
3) File e-form 5.

14 January 2010 stamping charge will be as follows:

minimum Rs. 1000 or 0.15% of Authorised capital whichever is higher (only difference amount will be paid) so in your case 0.15% of 2 cr comes to 30,000 less 1000 so you are supppose to pay 29000 as stamping charges for increase in authorised share capital.
