Inclusion of alternate director in annual return?

10 January 2012 Dear Frdz,

Is it compulsory to include the name of Alternate Directors in the Annual Return (schedule V). If so, can i put his designation under 'D'-Director?

As if now, i have included the name in the schedule and has shown under the head 'D'.

10 January 2012 Yes, the complete detail of past and present directors during last AGM is required to be disclosed in Annual Return.

10 January 2012 An alternate director is a director for all intents and purposes under Companies Act, in view of the definition of the word 'director' as given in section 2(13) of the Act which states that 'director' includes any person occupying the position of director, by whatever name called. Therefore, you have to mention the details of alternate director in Annual Return describing him as a Director

10 January 2012 so, even if there is no segment for Alternate Director SEPERATELY in schedule V, I may show it under the head Director itself?
