How to appoint a company secretary?

22 February 2013 Dear sir/Madam

I have small doubt regarding how to appoint a company secretary for a public limited company?i.e my company paid up capital has 49crores.authorised capital has 49crores.but my company is an unlisted public limited company.does a chartered accountant file a return for this company?does he competent to make a file to ROC.and if company secretary needed then how to appoint?give a brief details please.

22 February 2013 As per the provisions of section 383A of the Companies Act 195, every company having a paid up share capital of Rs. 5 cores or more is required to appoint a full time Company Secretary. As your company's paid up capital is more than 5 crores you will have to appoint a Company Secretary.
Company Secretary is a professional who is an expert in Corporate Governance and Secretarial and legal matters. Please also remember that under the new proposed Company Law, Company Secretary is also a Key Managerial Personnel (KMP) and his appointment will be mandatory for such king of companies as may be prescribed and in all probability, companies having paid up capital of Rs. 5 crores or more will be notified to appoint KMP. You can appoint Company Secretary by passing a Board resolution.
