20 June 2012 can anyone tell me the purpose of filing form 61. i have filed form 2 for allotment of shares in my company but list of allotment attached need to be rectified. can this rectification be done by filing form 61 in ROC.

20 June 2012 Form 61 is used for submitting application for -
a)Compounding of offences
b)Extension of period of annual general meeting by three months under section166(1)
c)Extending the period of annual accounts upto eighteen months under section 210(4)
d)Declaring a defunct company under section 560
e)Scheme of arrangement, amalgamation
f)Others covered u/s 25(8).

20 June 2012 Form 67 can be used if MCA gives an opportunity for resubmission of Form 2 for want of list of allotees.

As per my understanding, no need to make any rectification. When you file Annual Return for the same year give the correct information of the shareholders.

20 June 2012 There is no provision to rectify clerical errors in an 'approved' form 2.
