Fcgpr in case of amalgamation

03 July 2013 In case of amalagamation, whether transferee company needs to submit FCGPR for shares issued to transferor, as shreholding pattern of both company includes NRI only. Plz guide.

Yes, it is required to be filed, please read declaration sheet of Form-FC-GPR.

04 July 2013 Thanks. But there is no consideration involved. Only transfer of share capital from Tranferor to transfree company is involved.

If RBI has any clarification, then will ask from company.

I have face RBI, they are very co operative.

04 July 2013 One more thing, the Form-FC-GPR will be filed by the company whocse shares are involve. the share holders has no right to submit such form with RBI.

I will suggest you to take consultation from your registered AD.
