Director resignation

I registered a pvt ltd company with one other director. our company has yet not obtained Certificate of business. but now one of the two director has resigned. Do I need to employ a director immediately? what is process of appointment and what if I wish to close this company

02 July 2015 1. Minimum 2 directors should be there in a private company.

2. First appoint a new director in your company.

3. After completion of appointment process of new director plz proceed to file resignation of other director in question.

Revert if there is any doubt.

02 July 2015 other director has already filed resignation with MCA and left the company .. and currently I am not in position to appoint a new director immediatley. what if I wish to close the company ..? please help
we have yet not started our business. only get incorporated. not having Certificate of business yet.
