Director appointment and resignation

Hi,
Can Pls any guide me below matter.
In a company Ram and Kumar is only two director were there. Ram is the Chairman. Now on 26/12/12 Viru joined as a Director and on 27/12/12 Ram will resign as a Director.
On 28/12/12 Board Meeting how to pass a Resolution for this on the same Board Meeting for both Appointment and Cessation.

Hi
I will suggest you to do the following procedure:
1. Call a Board Meeting for appointment of Additional director as on 26.12.2012
2. File Form-32 within 30 days from appointment with digital signature of either Ram or Kumar.
Procedure for resignation:
1. Call a Board Meeting on 28.12.2012 for resignation of Ram with effect from 27.12.2012
2. File Form-32 of resignation with effect from 27.12.12 with digital sign of Kumar or new director.

In a company out of two director, one director is in Hydrabad. He wan to give authorization to the local director in connection to day to day business transaction ,all other decision and signing authority.
