05 September 2011 Dear Sir,

in pvt co. two members with equal share holding and both are director and no any other directors are.
one director cum shareholder is not comming in the co. from 6 months intentationlly without any notice given to the co.and curently not traceable. due to such acts by this director, another director is in the problem that how to run the co.

what should do by such director?

05 September 2011 Practically Such Equal Share Holding Only in Cases in Which Mutual understanding Exists.
Cant Manage throgh Mutual understanding.?

06 September 2011 Show a board meeting in back date when other dir was available. In this board meeting appoint someone as additional dir and file form 32 with back date and late fee. By this way you will be able to hold your board meetings to continue company’s work.

06 September 2011 Mr. Garg is partially correct but why back dating. Appoint any person as additional director since one director is available he can do so.
