din treatement on death of director

One of my company director has expired. Can some body tell me wheter i have to cancel their din no. and also what kind of formalities are required under companies act.

19 February 2010 Nothing is required in this case. Hope you have already filed form 32 after the death of director.

I have some doubts about reappointment of managing director if you solve these problems i shall great thankful to you:-

Please note first of all my company is a loss making company and it has made default also in payment of its debt continuously 30 days in preceding financial year.

it is also a listed company.

1----- In AGM one of my company director was reappointed In process of retirement of rotational director. The resolution is passed in AGM is as under:-

"Resolved that sh. x, who was retires by rotation be and being eligible for reappointment, offers himself for reappointment, be and is hereby reappointed as director of the company and be liable to be retired by rotation."

My problem is that by designation they are Dy. Managing Director. Whether Company have to file form 32, form 23 & form 25C on this reappointment or
this resolution is just sufficient. and can they retain Dy. Managing Director designation by the virtue of this resolution.

Remuneration is also paid by company to them. is central government permission required for reappointment case also,for remuneration or just this resolution is sufficient.
