17 July 2012 who can be appointed as Company's Compliance Officer other than qualified C.S. ,the CFO or Director of the company? Can any officer of the company be appointed as Compliance Officer ?? Pl.support the response with relevent Section.

17 July 2012 As per Clause 47 of the Listing Agreement the Company Secretary of the Company can be appointed as Compliance Officer, who will be responsible for monitoring the share transfer process and report to the company's board in each meeting.The Compliance Officer will directly liaise with the authorities such as SEBI, Stock Exchanges, ROC etc., and investors with respect to implementation of various clause, rules, regulations and other directives of such authorities and investor service & complaints related matter.

However, company who is not listed on stock exchange can aapoint other than CS as a Compliance officer.

17 July 2012 The company in referance is Listed on Exchange but have paid up capital of less than 3 crores. As such Clause 47 is silent on my above refered query. Pl. consider my query and help me. I am refering to a BSE listed company .
