please help me experts

on simple Question

in PVT LTD company As per the AOA Board Appointed a Managing Director and we filed Form 32 for the same

is it mandatory to file Form 23 also even though there is no agreement with MD appointed in Board resolution

01 April 2013 Under section 194(4)(c) any resolution of the Board of directors of a company or agreement executed by a company, relating to the appointment, reappointment or variation of the terms of appointment of a Managing Director.

01 April 2013 The appointment of MD is not mandatory in your company, however, if you are appointing you need to company section 192.
