Dear Members,
The director of a public Company has been appointed as the Whole Time Director of the Company in the Board Meeting held on 30.05.2012 with effect from 01.04.2012?
Is it Correct?
Can it do so ?

Check whether Articles of Association provide for the appointment of WTD to be made at a general meeting.

I am disagree with expert Mr.Mitesh...
A re-appointment can not be made retrospectively. You can appoint him from the date of passing of resolution and thereafter.
However, you can pay remuneration retrospectively.
