Are Shareholders are allowed to call special meetings? If yes, under what circumstances?

22 February 2013 According to the provisions of section 169, members of a company are entitled to make requisition to the BOD of the company for calling an extra ordinary meeting and if the meeting is then not called by the BOD, the meeting may be called by the requisitioning members themselves.

For amending AOA, refer provisions of section 31, for amending AOA, special resolution is required to be passed i.e. with 75% majority voting in favour.
