03 November 2010 Dear Experts,

Is CLB's confirmation still required for changing the object clause in the MOA of an unlisted Public Co. or has there been any recent circular removing that requirement?(Urgent)

for changing main object clause of MOA, only shareholders approval is sufficient for private as well as public company.

03 November 2010 Hi...

Undoubtedly agree with Ajay ji.....

Approval of CLB is required only for shifting the Registered office of the Company from one state to another. For alteration of the Objects clause not only the Main Objects Clause but for modifying the ancillary objects of the Company as well only the approval of the shareholders by way of a Special Resolution is required:)
