Can anyone help me in providing the complete procedure for changing the name and main object of a private limited company??

Procedure for change in object clause

This process involves alteration of MOA

1. First Call a board meeting and pass following 3 resolutions
a) resolution for change in object
b) calling of General Meeting.
c) authorisation to sign digital form

2. On due date hold General Meeting and pass the Special Resolution.
3. File form23 with ROC within 30 days of passing Special Resolution in General Meeting.
4. Prepare new MOA with new clause and attach the same in form-23 along with notice of General Meeting.

21 December 2011 Goood morning ...

I would like to know whether the company if desierous to strike off its name from ROC can file Form 61?
As per FTE (Fast track Exit)scheme its mandatory to have nil assets & balancesheet whereas in my case company though don't have any secured or any loan liability but having some sundry debtors and cash in hand ,so i can't go for FTE scheme, kindly suggest what would be the appropriate procedure for striking off the name.

Kindly help me asap
