14 September 2014 Can Director of loss making pvt ltd have remuneration over 80lakhs.If no, does he have to change designation? Or a special resolution need to passed as per companies act 2013

14 September 2014 Strict provisions related to director remuneration are not applicable to a private company in CA 2013. However Auditor may ask you the question for paying such high remuneration in case of loss making company.

Further also check the provisions of your articles to see if there is any restrictive clause for paying this remuneration.
