Can anybody will provide me the Draft MOA/AOA for stationery & printing Pvt. Ltd. Company.

I wanted to know the reason for printing MOA/AOA of the Company together and keeping it in the same book by almost all organisations. Why are they usually not printed as two separate documents?

I read Article 39 and Art. 10 of the Schedule 1 of the Bombay Stamp act which specifies the Stampduty payable on these documents.

Is the stampduty one of the aspects to keep them accompanied together?

there is a non compliance in one of the companies with respect to filing form 32 for cessation of director with ROC since 2011 jan.

Now the noting in Board minutes has been made in Dec 2011 for acceptance of cessation.

If form 32 is filed today, the date of cessation remains jan 2011 with board resolution authorising filinf of form 32 in dec 2011? is this correct

A pvt. co. wants to issue unsecured fully convertible debentures to its directors and shareholders. I think this will not be treated as deposit.

Can it be issued and what are the required formalities including of ROC in this regard?

I read in the newspaper about New Companies Bill 2011 allowing formation of ONE PERSON COMPANY at the earliest. I want to form this One Person company. I want to know from which date this law will come into effect and how do I form this ONE PERSON COMPANY?

The share certificate prepared on computer in word or excel format for a private ltd company is acceptable as per company law. And also inform are there in other requirements for share certificate.

I would like to know the process of transfering shares of One Private Company by introducing new shareholders.

A company have two directors having Equal Capital of 50,000 Each. Now they want to add two more person in Company by transferring their 50% shares to them without any consideration.Its a pvt Ltd Company & not listed.
_- Is any Board Resolution to be passed
- Form 7 B has to be filled or not???
- Stamp duty to be paid or not.
- Attestation to be done or not??
