if there are only two directors in a private limited company. one director is resigning and 1 is being appointed as an additional director is his place. so will both the process be done by filing one form 32?

A private limited was due to hold its AGM on 29/09/2012 has not yet held it?
because of this there is no appointment of Auditor?
Plus the company wants to change its Auditor but has not yet disclosed the name of the new auditor to its current auditor?
The Board is asking for NOC from the current auditor?
I Want to know what legal non compliance the PVT ltd is into?
Recourse to the Current Auditor?

A public limited company has changed its name. What changes do one have to incorporate in the revised MOA in order to give effect to the change in name? Also, whether any clause need to be incorporated for carring over the assets and liabilities of the old company to the new company. Kindly help with suitably drafted clauses for incorporating the changes in MOA.

Is there any specific rule that the Share Transfer form i.e Form 7B is to be presented to the concerned ROC only i.e where the company is registered for the purpose of stamping or endorsing thereon the date of such presentation?
If Form 7B to transfer the shares of a pvt ltd co registered in Uttar Pradesh is presented to ROC Delhi where the transferor or transferee resides to get it stamped and dated and the shares transferred on the basis of this transfer deed whether this transfer shall be deemed as invalid. Kindly guide me on the issue.
