Can anyone let me know whether share premium collected can be cancelled/ returned to the shareholders as the company does not require the same??
If yes, whats is the procedure to do so...

Mr. xyz is a director of a Public Limited Company. now his designation has to be changed from director to Managing Director to comply the provisions of sec 269.

for this purpose only form 25C should be filed or form 32 along with form 25C should also be filed.

which documents is to be colleted from past management of companies in case of overtake? does all sale bill & purchase biil with vocuhers of cash ,journal of past activities is to be take from them?

is it supporting documents required to be attested by the practicing professional with there seal as per new rule. which is effect from 25/12/2012 or only self attestation of applicant is enough !
and is it necessary to self attestation on Photograph of applicant !

Kindly let me know the difference between Private Placement and Preferential Allotment of Shares.

What I know is that Private Placement is by Private Company and Preferential Allotment is by Listed Company.

Is there any more differences than kindly let me know?

If Company's property given as security to bank for Bank Guarantee, does this conclude to charge under sec 125 of the Companies Act, 1956 and will be required to file form 8?

In the case of a private company if the Board resolution is silient on affixing common seal on loan documents, will the documents be valid if common seal is not affixed or is it mandatory that the common seal is required to be affixed in all loan documents.
