A private limited company increased its authorized share capital and now has to raise its share capital from persons other than promoters.
How can it do so as private company can not receive funds from outsiders.
I want to know the process/steps or formalities (board resolutions etc.) for receiving funds share application and allotment amount from outsiders for raising capital.

please clarify the following,

we want to float a company with the authorized capital of Rs.200 crores.but roc registration fee is about 0.5% which is very huge,

hence we thought that to register with Rs.100,000 as authorised capital and remaing as securities premium

Entry: cash a/c dr 200 crores
To Equity share capital 100000
To securities premium 1999900000

can we pass the entry like this,
is there any restriction to create securities premium.

is there any restriction as a % of capital for creation of securities premium

can the securities premium be utilized for aquisition of land or any other asset.

a board resolution is to be passed regarding authorising the direct in India to open and operate bank account and statutory compliances.
Are both directors required to sign.
If One director is abroad and one in India
can a circular resolution be passed?
what is a circular resolution?

When a company is initially incorporated and a share capital is subscribed at the time of incorporation of the company then whether

a) Shares can be issued without receiving money in the bank account?

b) Is it complied if the initial money is received in cash as company will not have bank account

c) what is the time frame within which share allotment should be done

Please advise whether 1 ordinary resolution can be passed on following matter:

Authorizing Branch Head of respective branch of the company to sign,execute all necessary documents for purchase of Fixed Assets or taking loan or acquire Fixed Assets on a rental basis or appoint or re-appoint or discharge staffs or consultant or advisory in the respective field wholly or partially as and when required for the purpose of the respective branch.
