Would guarantee commission paid to the wife of managing director for providing personal guarantee against loans advanced by banks require passing of special resolution and require CG approval?

is it compulsory to take consent of all shareholders for giving balance sheet & p/l for less than 21 days separately. if yes than what is specific format for it, or we can assume that , this consent also covered in form 22A.

The due date for AGM is 30.092013. LAst AGM was held on 21.082012. We intend to hold AGM on 26.10.2013. Can I file an application to ROC for extension of AGM today? If not what are the implications of holding AGM on 26.10.2013 without applying for extension?

I first make word files of MOA and AOA
then convert them in to images

then
convert those images in to PDFs

sir I want to know whether this idea can work and be accepted by MCA

I have filed for incorporation of a Private Limited Company on 15-09-2013 with an authorised capital of Rs.5 lakhs. I have filed Form 1, 32 and 18. However, ROC placed a query asking to comply with the notification dt.12-09-2013 and submit an affidavit. The notification does not clarify as to what the affidavit should be. Can you please give me a proforma of affidavit to be submitted and please mention any other corrections to be made in MOA or AOA.
