Our AOA contains the clause of COMMON SEAL to be affixed in presence of 2 directors and authorised signatory or cs. But as per Companies Amendment the clause of Common Seal has been removed. My query is even if the company has not carried out the alteration in the Aoa for above ammendment, then the Companies Amendment shall prevail the present AOA? Or the AOA has to be ammended ? Please advise

After name change of a private limited company which are all the documents (eg: letterhead, stamp, Visiting Office Board etc) the old name also needs to be specified?
For example : XYZ Pvt Ltd ( Formerly known as XY Ltd )
Is it mandatory to disclose former name and if yes for how long ?

while filing up form the moment data for "company is maintaining books of accounts in electronic form is" is entered form is corrupted with message " unable to find suitable font for ISO-8859-8 encoding." Please guide

An existing shareholder of a private limited company has transferred the shares to the outsiders without giving any notice to the company. In the company's books old shareholders name is still there. Now what will be the consequences if we intimate the company about it and can we file the transfer deed i.e. form SH4 in backdate?

I am the managing Director of a Private limited company which is closely held. My husband, sons and I are the Directors.
Now I have got some 15 acres of landed property. I want to assign equal acreage of land to my sons who are the Directors enabling them to develop on their own by setting up business or manufacturing hubs.

Articles of association permits such transactions and if needed I can modify the clause.
Please advise as how I should carry out this as I want to settle the issue as early as possible, satisfying both parties, Tax and Children. I should not also be burdened.

I would like to know what will be impact of listing of company under stock exchange if Narcl(Bad bank regulator )acquire company under ibc 2016 specially when bad bank only deals on aggregation of debts only and to find suitable buyer for company in next 5 to 7 years.?

One of our companies is under cirp process and the order dated is 19.10.2022. But unfortunately we have not filed the order with roc within 30 days, as per IBC code, 2016.

Kindly advise the procedure to file the same URGENTLY.
