What is main difference between section 372 and section 372A of Companies Act?

Application in Form 24 is filled to the Central Goverment for increase in the number of directors of the company. My question is that, in this case this form 24 is filled to whom , ROC or Regional direct or some else, I could not understand here the mean of central Goverment. Please reply with detailed. some other matters also reffered to Central Govt. I want to know in case of Company act , Who is central Govt. ROc and RD are sepratly mentioned

i am preparing to file annual returns of a pvt ltd co 2003-2008. in the process i observed that only 2 directors have din which are not filed with roc in din 3. and third of the 3 directors does not have a din. the third director is no more i.e expired in oct 08. In pt. no. V in 20B we have to fill the din of the director who ceased to hold office on the dt of agm.how to handle this issue.
another issue, form 20B requires the list of shareholders. how this list has to be prepared and what are the contents. Does it neeed to be signed by the directors or any other authority. if so, pls mention.
