In a two member board of a pvt ltd company what are the powers of a MD(one of the director) and other director? If the MD does not follow the advice or take consent of the other director in running the company ,what steps the other director can take to restrain the MD?

Do we need to issue share certificates in 3mths to subsvribers.If Co is incorporated in 2006 and has not issued any certificate but has recd money so can i now issue certificate in 2010.3mth time id N.A?

The govt has recnetly launched the CLSS 2010 in which the companies who have not filled due dcuments within prescribed time say for F.Y 2008-09 . It is witnessed that concerned ROC is sending SCN to even past directors , who have resigned say 4 to 5 years back & have nothing to do with companies affairs in the above fy . and not in charge of company in any capacity , would they also be covered under the Officers in Defaults

As per companies act, can any body provide me sample agreement
1) Company with Customer (Local India)
1) Company with Customer (International)
1) Company with Service Provider
1) Company with Vendor

Dear Sir,

Ours is a Private Limited co. I have 3 queries regarding that:

1) If AOA permits subdivision of shares, then whether it is required to file Form 23.

2) If in the above case Form23 is not required for subdivision, then also whether for Alteration of MOA/AOA filing of Form 23 is required.

3) Generally many Resolutions are passed by a Company, therefore whether it is mandatory to file Form 23 for each and every resolution passed or there are only some specific resolutions for which Form 23 is required to be filed.
