notice of AGM should be given b4 how many days of AGM? 7 or 21?

Dear Expert,
I want to know that weather hard copy of MOA and AOA is required to fill with ROC for creation of new company or the soft copy with form 1 is enough.

Is there any exhaustive list of informations which a shareholder is entitled to seek legally and the company is liable to provide?
Can a shareholder ask for the details of debtors, creditors, investment with all the minute details like date, purpose and name of the party.
Plz suggest.

1. Can a minor obtain DSC.

2. Can a minor become member of a company?

3. Does a Public Ltd Co not having Share Capital has to acquire certificate to commence business or COI is sufficient for it?

I have filed form 23AC & 23ACA of a Pvt Ltd Company for the first time for 18 month book of accounts.

In this form , i escaped to attach auditor report and director report.

and status of this filing has been approved at MCA site.

Whether i have to revised the form 23AC & 23ACA or it may be ignored?

If B Ltd. Co. take over the A Ltd. Co. and thereby all the directors of A Ltd. are resigning and directors of B Ltd. are becoming directors of A Ltd. also. Then who will sign Form 32 for all the outgoing directors of B Ltd. and who will sign Form - 32 for incoming directors??

we have filed form 61 for extension of agm but our directors are in default list so mca raised query that all the directors are flagged so you have to file form 67 and attach a letter and mention in that there is no dispute amongst the directors but the problem is that two directors are not available for sign that letter so what shall we do now

if a A Company comes into contract with B Pvt. Ltd. in which directors are common and comes u/s 297 of the act. the paid up capital of A Company is more than 1 crores and the company sells or purchase the goods on prevailing market rate.

My query is that if A Company gives advance to B Pvt. Ltd. for the business transaction, then it comes under rule 2(vi) of the Companies (Acceptance of Deposits) Rules, 1975.

My company conducts Board Mtg for annual accounts approval every year in Sept month. Can the AGM also be conducted on the same day every year.

If yes what are the formalities the company needs to adhere to
