In a private limited company date of signing balance sheet for FY. 19-20 is 28/12/2020 ,
Last AGM date was 29/09/2019, so now as per 15 months norms it should hold its next agm by due date 28/12/2020,
My query is :
1) Will it be correct if it hold agm on 28/12/2020 ?
2) Will it be correct if it adopts the balance sheet of FY.19-20 signed on 28/12/2020 in the AGM held on 28/12/2020 itself ?
3) Will it be able to comply the requirements of shorter notice for AGM ?
4) Is it compulsory for it to file MGT-14 for the shorter notice intimation , or just mentioning about shorter notice in the directors report is enough compliance ?

While filing MGT-7 list of shareholders are not attached and in the return column for No option is ticked. Now how reasons are to be indicated in the return separately?

I would like to register a company, but the SPICE+ form only allows me to submit the "Main Division" (2 digit) part of the NIC-2004 code. How will I be able to submit the full 5-digit NIC code for my company, because I see that company CIN numbers have 5-digit NIC codes and not 2-digit codes?

I run an Edutech startup in India. It is a pvt ltd company. As part of our expansion, we are planning to open a FreeZone company in Dubai as a separate venture (not as a subsidiary). After the incorporation, in order to carry forward the experience and valuation of our Indian company:
1: can the new FZ LLC (Freezone company) acquire the Indian company so that the Indian company becomes a wholly-owned subsidiary of the Dubai company?
2: Is this strategy logical?
3: Are there any repercussions to it?
4: Would there be any tax issues?
5: What are the compliances that need to be taken care of?
6: Would it be a problem if the directors and shareholders of both the companies are the same (my co-founder and me - we do not have any outside investors yet)
