Is it possible for a company to share its Current assets i.e. Loan among its shareholders. What are the sections which govern it?

TDS Certificate Signature

At present TDS Certificate issued by Our Company are signed by our Director.
Now because of Heavy work load he wants to give this authority to an General Manager (Employee).

Is any requirement of Board Resolution for the same according to Company Law or Income Tax Law?

If a company write off the advances comprising land advances and trade advances, will these write offs be debited to P&L Account or is there any other methodology of treating as balance sheet item and not routing through P&L A/c.

Stamp Duty on Share Certificate

Sir,
We had issued capital of 30,000 shares @10=300,000 (Authorized Capital 50,000 shares) when incorporated as a PVT Ltd Company. We have issued 5000 shares@25 (10 Face Value+15 Premium)to 3 of our related party. What is the formality to issue a share certificate to them?. How much is the stamp duty?

Deemed Public Company

If a company becomes public due to being subsidiary of a Public company by virtue of section 3, Pls clarify

1. Whether section 297 and 81 will be applicable after becoming public as such?
2. when a company becomes public by virtue of this section, In such a case all the section of Companies Act becomes automatically applicable on such company relating to all section which are applicable to public ltd company
3. Such Public company has to increase its paidup capital, no of directors and members mandatorily or not
4. Is there any section in Companies Act, which clarifies the position particularly which section applies and which section does not apply for such public changed company.
