hi
i want to know the procedure to be followed to winding up a company which doesnot have any business done for past 3 years and doesn't have any laibility as such to any outside party
its bank account is also closed for 3 years
pl send me the same as early as possible

Step 1 : Conduct a Board meeting record the reasons for winding up and also present a statement of affairs as on a date prior to baord meeting. Fix up EGM
Step 2 : Conduct egm and get permission from shareholders for winding up and present the statement of affairs and infrom no outside liabilities are there except share capital.
Step 3 : File form 23 to the registrar.
Step 4 : Distribute the amounts available to the shareholders and then the balance in sharecapital will become nil.
Step 5 : Inform the registrar and surrender the original certificate of incooration for deletion of name by ROC.
Step 6 ; verify in the mca website after 30days whether the name has been deleted.
