WHAT ARE THE CONDITION TO ISSUE SWEAT EQUITY?

I want to know what are the minimum capital requirements.

I want to register a Pvt. Ltd. company. I want to know the procedure - exactly whom to go to and what to do ( I am based in Delhi)

Case Fact:

In a private Ltd. company there are 6 members.

Out of 6 Members 4 Members transferred their shares to remaining 2 Shareholders.

I want to know what documentary procedure should be adopted for such case?

From whrere can i get this SEBI guilelines 2009?

can any subsidiary co. merge with another subsidiaries co. is it possible

If a Subsidiary Company increases its Authorised and Paidup Share Capital without Knowledge of Holding Company just to dilute the sharholding percentage. Kindly inform what are the precautions in legal terms to be taken by a Holding Company to Control the increase or decrease the Paid up as well as Authorise Share Capital in its Subsidiary Companies.

ABC pvt ltd has two member board.However only one director wants complete control over the functioning of the company.For this purpose he got himself declared as MD in a board meeting resolution .However he is not very keen to follow company laws and hardly pay heed to the advice of second director.Now he wants to become Chairman as well and presurising the second director to sign the resolution.No board meetings books are being maitained.My question is "what could be his motives behind getting declared as Chairman."Kindly suggest how to restrain him .

unlisted co. merge with listed co. high court has passed order...what will be the next step for functioning of company??? what will be the step to get shares of unlisted com, get listed after said merger order??

A public limited company has taken approval of the central government for appoitnment of whole time director for the period 1st April, 2009 to 31st March, 2014.

However now the company wants to change the designation to Managing Director.

Pls advice with respect to the procedure tp be followed and the forms to be filed.
