Director and promoter and subscriber

Hi all,

I am registering a company and i have got the name approval also.

In Form 1A i have given X Y and Z are Prospective Directors but in MoA I have shown X Pvt Ltd and Y Pvt Ltd are subscribers. Mr X and Mr Y are Directors in X and Y Pvt Ltd respectively, they sign as representatives of X and Y Pvt Ltd.

Pls let me knw do i have to show Z also as Subscriber in MoA.

If yes kindly give me the provisions

directirs remuneration

a person is appointed as managing director in two different Companies and intend to draw remuneration in both the Companies, How his remuneration ( with limits as per schedule XIII)would be decided in both the Companies
can a person be a managing director of the company without getting any remuneration from it.

Can an attorney holder of a director of a company appoint another director on the behalf of said attorney and file form 18 to ROC?

Hello friends

I got my pharmaceutical company (private limited) registered in June 2009 in Ahmedabad.

Unfortunately due to various hindrances my company failed to start any business operations till date. We have incurred expenses like rent and legal documentation etc. but no sales or any other income has taken place yet.

I don't want to wind up my company as I'll start its business operations as soon as I manage to solve my problems.

After the end of financial year 2009-2010 on 31st March 2010 I am wondering what legal formalities my company should fulfill in order to stay alive.

Could anyone please guide me on this issue?

Please suggest me an inexpensive way to fulfill the legal formalities listing those formalities in a simple way.
