MAYURI

A private limited company has not filed its balance sheet & pl account , annual return from last two years i.e, 2008 & 2009. For this it has received a show cause notice from ROC. Company is now willing to file these forms within 10 days. so whether a wriiten reply mentioning the same will be enough or whether i will have to file form 61 for compounding of offences.

Kindly suggest me what to do???

We have a defunct company and are filing the annual returns and balance sheets for the last 8 years since there has been no activity. While we are moving an application under EES 2010, we have received the above notice for non filing of annual returns and accounts for the year 2009. ( so have many companies I learnt) please advise course of action

Hi, I PREPARED ALL THE DOCUMENTS FOR EES FORM,2010 BUT WHILE UPLOADING THIS FILE I CAME TO KNOW THAT THE RESPECTIVE COMPANY IS A LISTED COMPANY, THIS I CAME TO KNOW BY DETAILS IN MASTER DATA. SO WHAT IS THE EASY PROCIDURE TO CLOSE THE COMPANY

whether we have to comply any formality with roc for payment of Remuneration to Diretor like Rs.1.00 Lac per months
whether ceiling of managerial Remuneration is applicable to pvt ltd company.

Company Secretary

As per Sec.383A of the companies act every Company required to employ a whole time secretary if paid up share capital is more than 5,00,00,000/-.If company has not appointed said secretary than whether auditor has to disclose this? If yes where it should be disclosed I mean in Auditors report or Notes to accounts.

In case of less franking done on Share Certificate and on Transfer deed can we do franking again for the difference amt as date will be different and party involved is non resident also and any other things to be complied?

Is it necessary to bind the minute book

Some says we can use minute book folder by "TAXPRINT" in which minutes can be printed by a computer and can be filed using a key provided with the folder.

But some says even then you have to remove the minutes printed and then get them binded periodically as per companies act.

As per my knowledge earlier it was mandatory to maintain handwritten minutebook but not one can use this folder by "TAXPRINT" with a key to print and file the minutes, and it is not necessary to bind the minutes
