Formation of Company Outside India - reg.

Our client wish to Open a Company outside India.


Query :

1.Who are the Regulatory Persons?

2.What are the Acts we have to follow?

3.What are the Procedures or Forms to be filed with Whom?

4.Shall we send Rs.37lacs as Share Capital
from now.(India).and its implifications.

Retire by rotation

Our company is a public company (State Government Undertaking). There are total 11 directors on our board out of which 10 are Nominee Directors. To the best of my knowledge provisions of retire by rotation is not applicable on Nominee Directors.

My question is that, how many directors are liable to retire by rotation at each AGM.

Providend Fund

Respected Expert,

Is there any option for an employee not to opt for PF?

As per my knowledge if monthly income is more than Rs 6500/- an employee can opt not deductiong PF.

What will be the situation if company was deduction PF during previous yr but during current year employee decided not to deduct PF because of above option?

Legal compliance under Companies act

Respected Experts,

I am working in a software company based in Pune having it's HO at NY USA. My companies MD [Residential Status:NRI] is on US Payroll and now he has shifted to India (Pune unit) payroll effective 01-DEC-2010.My questions are as follows:
1. How to document this arrangement?
2. Do we need to sign any employee agreement or do we need to execute any board resolution to accommodate this change?

If a Director is appointed two years back and his remunerstion exceeds the limit prescribed in Shedule XIII, then in that case form 25A will be filed? Please suggest.

Condonanation of Delay u/s 141

Dear Sir,
what is the present prpcedure of condoning delay for charges beyond 60 days form the date of event.
IS ROC has the power to condone delay up 300 days from the date of event.
Or we have to file petition to CLB for
condoning delay from 60 days to 300 days.

Allotment of Shares

A Private Limited Company has made allotment of shares on 2 occasions - within 10 days of each other. Does it require the Board to meet on 2 occasions and pass separate resolutions for these 2 allotments ? Can both these allotments be made in one Form 2 itself?
