when and of what amount of revenue stamps are needed to be affixed on share certificates.
One of our client, a Private Limited company (having Total authorized and paid up share capital of Rs. 25 lacs-share of Rs. 10 each) wants to change their share holding pattern. Their Existing share holders will transfer certain number of shares to the new share holders.
An NRI will be purchasing 26 % of total shares. My problem is that our client wants to issue shares to the NRI at Premium of Rs. 100/-.each but to other shareholders without premium.
One solution was to issue shares to that NRI later ( i.e. may be after 6 months after issuing shares to other Indian Shareholders…)
Is there any other solution to the problem. Pls reply urgent.

How to do transfer of shares if transfer deed is not available in back date and what will be consequences if transfer is made for past transfer in current date transfer deed?
Hi
Sir/madam,
My friend's father have some shares in ABC co. Ltd. and the share certificate in Physical form. The shares are original shares i.e. these are issued shares. Now my friend wants to transfer all these shares to his name in Dmat A/c as he has Dmat A/c but His father does not have Dmat a/c. Meanwhile the co. has declared bonus and the bonus certificate are also held by his father. So the question is : -
1) In transfer deed he should write the full amount of shares including bonus as the share certificate and bonus certificate are different.
2) he should use one share tranfer form or 2 for share certificate and for bonus.
Plase reply.
Hi All,
This is Satyanarayana.P i have a query regarding Stamp Duty
1.When we have to Pay Stamp duty on shares?
A. At the time of Issue Of Shares? or
B. At the time of Transfer of Shares?
Because somewhere it is saying that there is no stamp duty on issue of shares, the stamp duty attracts only when the shares transfered. which is Right?
