Authorised Signatory in share certificate

20 June 2009 We have to authorise one person to sign as a authorised signatory on share certificates whether at the time of isssuance or tranfer so it is necessary that person should be from employee or director of the company??

Who can be authorised in that case, can a auditor be authorised for this?

22 June 2009 As per the Companies Issue of Shares Certificates Rules two directors has to sign Share Cert.They can do it by mechanical means. However, a Secretary or other authorised person is also required to sign a share cert. physically. This authorised person should physically sign the Share cert.

The Board of Director should authorise any officer or employee(or even to a Director) of the Company to sign the same.
