Articles of association for private limited company

16 June 2014 Dear friends,

Do the Private Limited company need to adopt new AOA, under new Companies Act, 2013, if the articles are not consistent with the present AOA Table format?

If so, is there any procedure?

Please clarify. Its urgent.

16 June 2014 No there is no compulsion in new CA 2013 to adopt new articles. Refer section 5(9).

However, it is very much advisable to adopt/alter your old AOA as per CA 2013 to avoid any confusion or inconvenience.
