17 December 2010 Can the company be able to appoint a person as a additional director in board meting and whether he Can be appointed as Managing director

17 December 2010 Additional director can be appointed as MD. AD holds office only upto date of next AGM. Hence he is to be regularised as a director in the AGM and consequently he will continue as MD.

17 December 2010 Hi agreed with expert...

1. An Additional Director can be appointed as MD of the Company in the same Board Meeting. First pass a resolution for appointting him as an Additional Director and then pass another resolution for appointing him as MD subject to the approval of the members at the GM of the Company.

2. At the General Meeting first an Ordinary resolution for regularizing the Additional Director has to be passed and then another Resolution for appointing him as Managing Director.
