20 February 2012 We had appointed additional director cum managing director in a board meeting. Now at the coming AGM can we place only the appointment of MD as Special Business not mentioning anything regarding regularization of additional director u/260, since he is appointed for 3 years or two separate special business need to be placed.

In coming AGM you pass one Special Business for Regularisation of Additional Director under section 257 and file Form-32 with ROC, regarding change in position and mention the position in Form-32 as Managing Director in place of Director, otherwise MCA portal shows him as Director, nor as Managing Director.
