If this manager is a whole time employee and you appoint him as an alternate director then this appointment is equal to the the appointment of WTD by virtue of the explanation to section 269 and you have to comply with section 269 fully.
Regarding 314 --- section 314 is applicable only if you give remuneration to your alternate director over and above the remuneration he is drawing as manager. section--314(3)
You mean to say that we have to comply with all the provision of section 269 and this means do we need to file form 25C again. We have already file form 25 c for appointing him as manager.
