A auditor gets appointed at the AGM & he has to accept such appointment. What happens if he refuses such appointment? Who is responsible then for appointing the auditor ?

Such a case is neither a vacancy caused by resignation nor a casual vacancy. Hence, another general meeting has to be convened to appoint a new auditor.
