20 June 2016 Director refers to the whole time director, executive director or independent director. If it is a independent director, the appointment procedure is specified in S.149(6) of Companies Act, 2013. Schedule IV prescribes Code for Independent directors.

Further, S.149 of Companies Act also prescribes consistence of Board of Directors and appointment of the same
