Appointment and resignation of Directors

16 November 2010 In my case, one of the director will resign and two new directors will be inducted into the board.
Kindly suggest any additional requirement to be satisfied other than the highlighted points below:

1. Apply for DIN for new directors
2. Arrange for consent letter from new directors
3. Convene Board meeting
4. File Form 32

Should i file any other forms like DIN3 etc.

Requirements of filing DIN 3 applies only in case of Directors appointed prior to 30.06.2010. In respect of the Directors appointed after this date, there is no need to file DIN - 3.

In my opinion you dont need to do nething else other than the things quoted by you!

Your procedure is right.

DIN 3 is not required to be filed with ROC, if your directors are appointed on are after June 30, 2007.
