08 August 2014 I need the form of annual return that is being attached with the Form 20B of ROC. Where can i get a format? the Mca site does not have it.

09 August 2014 As per sub section (4) of section 92 of Companies Act, 2013, Every company shall file with the Registrar a copy of the annual return, within sixty days from the date on which the Annual General Meeting is held or where no Annual General Meeting is held in any year within sixty days from the date on which the Annual General Meeting should have been held.

However, as per MCA General Circular No. 8/2014 dated April 04, 2014, there is no need to follow Annual filing related provisions of Companies Act, 2013 for the annual filing related to financial year 2013-14. However Notice of AGM will be prepared in accordance with section 101 and 102 of the Companies Act, 2013

Hence, for annual filing related to FY 2013-14, old E-forms like 23AC, 23ACA and 20B will be used. These e-forms are still available on ROC site.

28 October 2014 I have to file Annual Return of a company for FY 2013-2014.Their auditor has not yet submitted his Form 23B.However since now FOrm ADT-1 through GNL-2 is to be filed w.e.f. 28th April 2014,we have to do the same. But the auditors report has to include certain points as per Rule 11 of Companies (Audit and Auditors) Rules,
2014.Since the audit report was finalized in 2013,do we have to incorporate these points in he audit report now?
