02 December 2011 if the company moa provide that :The Directors may decline to register any tranfer of shares not being fully paid shares to a person of whom they do not approved and may also decline to register any tranfer of shares on which the company has a lien.
so...there are possible way that the moa can be altered or not if not on what graound should we see?

02 December 2011 As per section 31 of the companies act, 1956 by passing a special resolution in the general meeting of shareholders you may alter the articles of the company.

After this meeting submit form 23 with ROC to register the special resolution within 30 days of general meeting.
