Who shall sign the Agenda and Notes to Agenda for Board Meeting if there is no comp. secretary ?

Any director can sign the agenda papers.
Since there is no specific law in this regard, any person who is involve with the preparation of agenda can sign them with permission and knowledge of board members.

If company secretary is not available then you can take signature of any director as authorised by Board.
