Is every item of agenda needs approval ??
if chairman absent in meeting then whose approval shall be considered ??

Every item for which resolution required to be pass need approval.
As per Clause 70 of Table f of Schedule I of Companies Act, 2013 if Chairman is not present in the meeting with in 5 minute from the schedule time of Meeting then Directors present will appoint a person from them as Chairman.
