13 November 2009 What are the steps to be taken immediately after the getting approval status for the incorporation of a private limited company?

Should the first auditor appointed need to file Form 23B on his appointment?

Can the co. maintain minutes of board meeting in loose leaf form?

Kindly clarify me.


13 November 2009 1) 23B should be filed.
2) Cannot maintain in loose leaf.

13 November 2009 As per my understanding form-23B is not required to be filed for first auditor under section 224(5).

Section 224(1) requires to file form-23B on the appointment of auditor in the AGM.

As your company is newly incorporated company you can maintain your initial minutes in loose leaf form. But proper binding of minutes is desired after reasonable intervals say once in a 6 months.
