Weather special resolution is required?

Appointment of MD / WTD requires only ordinary resolution.
However if remuneration is paid to MD / WTD in accordance with Section II(1)(B) of Schedule XIII, the remuneration shall be approved by a special resolution at the general meeting of the company.
