Can a Manager of a public COmpany be appointed as the Whole Time Director of a Private Company ?

A Whole Time Director is a person who devote his whole time in favuor of the company of which he is Whole Time Director.
In view of the above it is not possible/advisable to appoint some one as Whole Time Director who would not be able to give his full time to the company.
However, this is my personal understanding.
